Agreeing to these terms
By creating an account or using the Service you agree to these terms. If you use the Service on behalf of an estate agency or other organisation, you confirm you have authority to bind it, and "you" includes that organisation.
1. The Service
Simply Done provides software for estate agencies (CRM covering sales, lettings and property management) and a consumer marketplace for property search and related tools. We may add, change or withdraw features to improve the Service; material reductions affecting paid plans will be notified in advance.
2. Accounts
You must provide accurate information, keep credentials confidential, and notify us of any suspected unauthorised use. Agencies control their own workspaces: agency administrators manage user access, roles and permissions, and are responsible for their team's use of the Service.
3. Acceptable use
You agree not to: break the law or infringe others' rights; send spam or unlawful marketing; upload malware or attempt to breach, probe or overload the Service; access other tenants' data or attempt to circumvent tenant isolation; misrepresent property information to consumers; scrape or bulk-extract data without permission; or resell the Service without our written agreement.
We may suspend or terminate accounts that breach these terms, with notice where practicable.
4. Your content and data
You (or your agency) retain all rights to the data you put into the Service — listings, contacts, communications, documents. You grant us a licence to host, process, transmit and display that content solely to operate and support the Service. You are responsible for having the right to upload the content you upload, including your clients' personal data.
Our processing of personal data is described in the Privacy Policy, and, for agencies, in the data processing terms of your subscription agreement.
5. Connected accounts and third-party services
The Service can connect to third-party accounts you authorise — for example Gmail (email), Google Calendar, Twilio-powered calling and SMS, and WhatsApp. Your use of those services is also governed by their own terms. You can disconnect a connected account at any time in Settings; disconnection stops the related features. We are not responsible for third-party services' availability or acts.
6. Fees
Paid plans are billed as set out at purchase (per seat and/or usage-based). Fees are exclusive of VAT unless stated. Late payment may result in suspension after notice. Consumer marketplace features are currently free to consumers.
7. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be scheduled to minimise disruption where practicable. Support is provided via support@simplydone.tech for agencies and contact@simplydone.tech for consumers.
8. Intellectual property
The Service, its software, design and branding belong to Simply Done Limited or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business (agencies) or personal property search (consumers). Feedback you give us may be used to improve the Service without obligation.
9. Disclaimers
The Service is provided "as is". Property information on the marketplace is supplied by agencies and third parties; we do not warrant its accuracy and it does not constitute survey, legal or financial advice. Nothing in these terms excludes liability that cannot be excluded by law.
10. Liability
To the fullest extent permitted by law: we are not liable for indirect or consequential loss, loss of profits, or loss of data caused by events outside our reasonable control; and our total aggregate liability arising out of the Service in any 12-month period is limited to the fees you paid us in that period (or £100 where the Service was free to you). Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited.
11. Termination
You may stop using the Service and close your account at any time. Agencies may terminate per their subscription terms. On termination we will make agency data available for export for a reasonable wind-down period, then delete it in line with the Privacy Policy and our retention schedule.
12. Changes to these terms
We may update these terms; material changes will be notified (by email or in-product) at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
13. General
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a term is not a waiver.
